ABSTRACT: When opening a business in the United States, selecting an appropriate jurisdiction of formation is critical. The common misconception is that a business should be registered in the same area where the business is operated. This may be true for small local businesses, but for larger businesses or businesses with high growth potential, choosing a formation state different from the operation state may be more beneficial. This study investigated the choice of formation state in the United States by looking into critical factors such as the ease of registration, business support, and long-term profitability. A general comparison among different states is provided without getting into the specific business operation details. Based on the analysis, Delaware is the most attractive state to register in, especially for businesses with outreaching potential. The study also provides a foundation for future research based on specific business requirements. When other factors such as company operation model, product type, and customer distribution are taken into account a different state of business formation may be the best choice.
